CORRECTED-UPDATE 1-BMC adds 2 Elliott candidates to board nominees slate
Jul 3rd 2012, 13:53

Tue Jul 3, 2012 9:53am EDT

(Corrects headline and paragraph 1 to say Elliott Management's nominees have been added to BMC's slate of directors for election at annual meeting on July 25; the nominees have not yet joined BMC's board)

* BMC increases board seats to 12 from 10

* Elliott withdraws demand for 4 board seats

July 3 (Reuters) - BMC Software Inc agreed to add two representatives from Paul Singer's Elliott Management to its slate of existing candidates for election at its annual meeting later this month, settling a proxy fight with the activist hedge fund.

BMC, which makes software for storage management, database performance and data recovery, increased the size of its board to 12 from 10 to include Elliott's nominees, John Dillon and Jim Schaper.

As part of the agreement, Dillon would join the company's mergers and acquisitions committee, while Schaper would be a member of BMC's compensation committee.

Elliott, which owns 6.5 percent of BMC's common stock, had repeatedly asked the company to sell itself and appoint new directors.

The hedge fund had also presented a list of potential buyers of BMC, including International Business Machines Corp, Oracle Corp and Dell Inc, and private equity firms including KKR, Blackstone Group and Bain Capital.

BMC's annual stockholder meeting will be held on July 25 in Dallas.

BMC's shares were up 42 cents at $43 in trading before the bell on Tuesday on the Nasdaq. The stock closed at $42.58 on Monday. (Reporting by Supantha Mukherjee in Bangalore; Editing by Viraj Nair)

UPDATE 1-Rexam to sell personal care business for $709 mln
Jul 3rd 2012, 12:51

Tue Jul 3, 2012 8:51am EDT

* Division sold in two parts to Sun Capital Partners and Silgan Holdings

* Will return about $580 mln to shareholders

* Rexam shares up 1.8 pct

*

LONDON, July 3 (Reuters) - British drinks can maker Rexam said on Tuesday it had agreed to sell its underperforming personal care business in two parts for $709 million in cash and return about $580.5 million of the proceeds to investors.

Private equity firm Sun Capital Partners had agreed to buy the cosmetics, toiletries and household care division for $459 million, Rexam said, while Silgan Holdings would acquire its high-barrier food packaging business for $250 million.

Rexam put the businesses, which employ 7,000 people, on the block in February because they had been hit by rising costs and lower volumes.

The company said it would restructure as a result of the sale at an exceptional cost of 40 million pounds, of which 25 million would be cash costs.

Shares in Rexam were 1.8 percent higher at 431 pence by 1240 GMT, outperforming a 0.3 percent firmer FTSE 100 index.

UPDATE 3-S.Korean fund MBK walks away from Hi-mart sale - source
Jul 3rd 2012, 11:51

Tue Jul 3, 2012 7:51am EDT

* MBK request to extend exclusive period rejected

* MBK also bidding on S.Korea's Woongjing Coway -source

* MBK wanted more time after examining recent data -source

* Move opens door for Lotte, preferred by market

* Hi-Mart stock climbs 8 pct

* Sellers turn to other bidders for stake sale stake -source (Adds details on Woongjin Coway bidding)

By Joyce Lee and Stephen Aldred

SEOUL/HONG KONG, July 3 (Reuters) - Private equity fund MBK Partners has walked away from the auction of a majority stake in Hi-mart Co, South Korea's biggest electronics retailer, after it found a worse than expected deterioration in the business on entering exclusive talks, a source with knowledge of the matter told Reuters.

Earlier on Tuesday Hi-Mart said that shareholders had rejected MBK's request to extend its exclusive negotiating rights to buy the stake valued at $700 million, re-opening the door to rival bidder Lotte Shopping Co. MBK, run by former Carlyle Asia Partners president Michael Kim and one of South Korea's better known funds, had been selected just last week to buy a 65.3 percent stake in Hi-mart, but requested more time after it saw very recent performance data, a second source familiar with the matter said.

The sellers, Hi-Mart's largest shareholder Eugene Corp and two other shareholders are now expected to turn to other bidders, said a third source with direct knowledge of the matter. Founded in 1987, Hi-mart operates some 290 stores, controlling 35 percent of the market, ahead of Samsung Digital Plaza. While MBK might have outbid Lotte, the nation's biggest department store has been regarded by the market as a better fit for Hi-Mart and the news of MBK's loss of exclusivity sent Hi-Mart shares surging 8 percent.

The MBK offer was "in the 70s" said the first source, referring to a value of more than 70,000 won a share, adding the bid was "way below" the around 80,000 won a share quoted in local media. The stock closed at 52,000 won on Tuesday.

MBK declined to comment.

Shares in Hi-Mart lost roughly a fifth of their value after bidding closed on June 20, hit by disappointment that Lotte was not the preferred bidder and poor forecast for second-quarter earnings.

A Lotte spokesman said the company did not know if MBK had withdrawn from the sale or whether the sale was now open to other bidders, adding that it will consider the issue once it knows. Lotte Shopping is part of the Lotte Group which has in recent years pursued an aggressive acquisitions strategy, snapping up targets across Asia, including Chinese supermarket operator Times Ltd in 2009.M

Hi-mart reported a 43 percent tumble in first-quarter operating profits with analysts citing weak consumer demand for home appliances. They added that Hi-mart was particularly hard hit, with the leadership suffering after its former CEO was charged in a $228 million embezzlement case.

SNAGS

Meanwhile MBK has turned its attentions to bidding for a stake in Korea water purifier maker Woongjin Coway Co Ltd , where it is competing with local firms GS Retail Co Ltd and Lotte Group again, the first source added.

North Asia-focused MBK also plans to raise a new $1.5 billion fund, according to sources with knowledge of the matter. Private equity firms face a tough fundraising climate, and MBK has hit some recent snags as it actively pursues acquisitions and sales of its assets.

Last year the firm, which has $3.8 billion in funds under management, tried unsuccessfully to sell its stake in Japanese software developer Yayoi, one of a number of private equity sales that stalled as buyers turned bearish on Europe's debt woes.

The firm also faces an anxious wait on an agreed $2.4 billion sale of Taiwan cable TV operator China Network Systems, as the buyer may have to pull the deal because of delays getting regulatory approvals. (Additional reporting by Denny Thomas; Editing by Edwina Gibbs and Greg Mahlich)

RLPC-Allianz Capital attracts bids for Selecta -bankers
Jul 3rd 2012, 11:08

By Claire Ruckin

LONDON, July 3 | Tue Jul 3, 2012 7:08am EDT

LONDON, July 3 (Reuters) - Allianz Capital Partners has attracted a number of potential buyers in the sale of its European vending machine business Selecta, which is expected to fetch at least 700 million euros ($881 million), banking sources said on Tuesday.

HSBC is running the sale process and a handful of private equity firms have made it through to the second round of the auction phrase with bids due on July 25, the sources said.

Advent, Apax Partners and BC Partners are expected to submit bids, while Oaktree has also been close to the process, the sources said.

Advent and BC Partners declined to comment, while Apax and Oaktree were not immediately available to comment.

CVC had been regarded as a likely bidder as it owns rival vending machine operator Autobar Group, but it is thought not to be involved in the process, bankers said.

Some bidders had been put off Selecta, which has an EBITDA of around 130 million euros, as it has not managed to deleverage its debt or produce large profits, bankers said.

"The asset has not been properly invested in but there is a lot of potential to achieve growth margins and grow the business going forward with new sponsors, the right debt structure and a focus on the right geographies," a banker said.

Allianz bought Selecta from Compass Group in 2007 for 772.5 million pounds ($1.21 billion) backed by 690 million pounds of debt, according to Thomson Reuters LPC data.

HSBC has put together a staple financing package of around 600 million to 700 million euros to back the buyout and will be offered to any private equity bidder, bankers said. Other bankers are working with specific sponsors on debt packages to back a buyout which involve a mixture of senior leveraged loans and sub debt.

Founded in 1957, Selecta has more than 150,000 vending machines in 22 countries and generates 700 million euros in revenues, according to the company's website.

UPDATE 2-One Equity to buy M*Modal for $1.1 bln
Jul 3rd 2012, 10:53

Tue Jul 3, 2012 6:53am EDT

July 3 (Reuters) - One Equity Partners, JP Morgan Chase & Co's private investment arm, will buy technology services firm M*Modal for about $1.1 billion in cash.

The $14-per-share offer represents a premium of 8.3 percent to M*Modal's Monday close.

The company offers clinical documentation and speech recognition technology to medical professionals. It has 12,000 employees in five countries and had revenue of $450 million in 2011.

One Equity Partners, which manages $11 billion for JP Morgan, will commence a tender offer for M*Modal's outstanding shares by July 17.

Investment funds led by S.A.C. Private Capital Group LLC, which together own about 31 percent of M*Modal, agreed to support the deal.

The deal is expected to close during the third quarter of 2012.

Bank of America Merrill Lynch and RBC Capital Markets are financing One Equity Partners.

Macquarie Capital is acting as lead financial adviser to M*Modal.

M*Modal's stock, which has gained a third of its value this year, closed at $12.93 on Monday on the Nasdaq.
