UPDATE 3-Canada's CGI to buy Logica to create global IT firm
May 31st 2012, 16:19

Thu May 31, 2012 12:19pm EDT

* Agrees to 105-pence-a-share offer for Anglo-Dutch firm

* Logica backs bid, saying it will create global scale group

* Logica's shares up 69 pct, CGI shares also jump

By Paul Sandle and Euan Rocha

LONDON/TORONTO, May 31 (Reuters) - Canada's top IT services firm, CGI Group Inc , agreed to buy larger Anglo-Dutch rival Logica Plc for $2.64 billion on Thursday, a move that more than doubles its size and helps serve multinational clients in Europe.

The deal, funded with debt and a C$1 billion ($965.44 million) cash infusion from CGI's largest shareholder Caisse de dépôt et placement du Québec, will allow the Montreal-based company to cater to its many North American clients that also do business in Europe.

CGI's chief executive, Michael Roach, played down concerns about expanding into Europe at a time when euro zone countries are mired in economic woes.

"The vast majority of Logica's revenue is derived from Europe's largest economies - these include the UK, Germany, France and the Nordics, which are attractive markets," he told analysts on a conference call.

A sale of Logica would be the latest in a trend of British technology groups being snapped up by richer North American rivals. Banking IT company Misys is being bought by private equity group Vista, and last year U.S. technology giant Hewlett Packard Co acquired software company Autonomy.

Shares of CGI were up 12.3 percent at C$23.60 on the Toronto Stock Exchange at midday Thursday as investors cheered the deal. Its U.S. shares were up 11.7 percent at $22.81 on the New York Stock Exchange.

Logica's shares, which were valued at 139 pence a year ago, were up 69 percent at 109.5 pence at 1552 GMT, trading above the offer price on hopes of a rival bid emerging.

The Logica deal will more than double CGI's annual revenue and number of employees, taking sales to about $10.4 billion and staff numbers to 72,000 in 43 countries, CGI said.

The increased scale will allow CGI to compete better against rivals including IBM, Accenture, Tata Consultancy Services, Cap Gemini and Infosys .

Desjardins Capital Markets analyst Maher Yaghi said the deal is positive for CGI, noting that the company has a long history of executing successful, profitable acquisitions.

"The transaction at hand appears to offer immediate earnings accretion, especially given the established position of Logica in the European market where CGI can leverage relationships to sell its products to clients," Yaghi wrote in a note to clients.

CHALLENGING MARKET

Logica, which issued a profit warning and outlined plans to slash 1,300 jobs late last year, has been hit hard by Europe's economic problems, as clients have shelved technology upgrades.

Analysts have said Logica, which services companies and governments, has been too slow to adapt to the changing market. Logica Chief Executive Andy Green said the company needed scale to compete for more multinational contracts, and its position had been weakened by uncertainty in Europe.

"We are in a competitively intense industry and it's a globalising one where scale has become an ever more important factor in both cost competitiveness and in the service," he said.

Societe Generale analyst Richard Nguyen warned that the deal presents risks for CGI and could compress profit margins. He noted that CGI enjoys a margin of almost 15 percent on earnings before interest and taxes (EBIT), while Logica's margins are in the 6.5 to 7 percent range.

Nguyen warned that this could lead to potential EBIT margin dilution and a narrowing in the trading multiple premium that CGI enjoys against its peers.

BIG PREMIUM

Logica's investors will receive 105 pence in cash for each share, a 60 percent premium to Wednesday's closing share price, under the terms of the deal, which is backed by Logica's board and the holders of 18.2 percent of the stock.

"We think this is a good deal for Logica shareholders given the long-term structural challenges the group faces," said Roger Phillips of Merchant Securities. "We feel the CEO's strategic plan has failed to work and so the business is in a state of strategic drift."

Investec analyst Julian Yates said a rival bid for Logica could not be ruled out.

"Indian players may be seen as counter-bidders but this would represent a material strategic risk considering the cultural and business focus differences," he said.

Most analysts, however, dismissed the odds of a rival bid.

"We do not see any counter-offers from an offshore vendor, a European or global peer or a private equity player," said Daud Khan, an analyst with Berenberg Bank. He noted that Logica was too large for some of its Indian rivals to swallow and it would be too much of a distraction for some North American and European rivals at this time.

Logica was advised by Rothschild, Bank of America Merrill Lynch and Deutsche Bank, while CGI was advised by Goldman Sachs.

3i boosts debt assets with deal for Invesco funds
May 31st 2012, 14:26

By Simon Meads

LONDON | Thu May 31, 2012 10:26am EDT

LONDON May 31 (Reuters) - Private equity firm 3i Group said it had agreed to buy a clutch of debt funds from Invesco, as the group steps up efforts to diversify away from traditional private equity deals under new Chief Executive Simon Borrows.

3i said it had signed agreements to buy seven European collateralised loan obligation management contracts from Invesco, adding some 2 billion euros in assets to its debt management arm established 18 months ago.

Mirroring many large private equity firms, such as Blackstone and KKR that have expanded their businesses into new fields of asset management, 3i acquired the debt management of Mizuho in 2010 for 18.3 million pounds, under former chief executive Michael Queen.

The deal marks the first significant acquisition for Borrows in his new role as CEO, and underlines his commitment to extending 3i's asset base.

It takes total debt assets under management to 6 billion euros.

No other financial details were disclosed.

Speaking at the private equity group's full-year results earlier this month, Borrows said he wanted to see debt management and infrastructure become larger parts of 3i's investment strategy.

3i shares were up 2.7 percent at 174.2 pence at 1325 GMT.

Elliott steps up battle with BMC
May 31st 2012, 14:31

Thu May 31, 2012 10:31am EDT

* Elliott wants new board directors with eye toward sale

* Elliott owns 6.5 pct stake in software company

* BMC resisting Elliott's proposals

By Katya Wachtel

NEW YORK, May 31 (Reuters) - Elliott Management, a $20 billion activist hedge fund run by Paul Singer, has stepped up its assault on BMC Software Inc, repeating calls for the company to sell itself and appoint new directors.

In a 36-page presentation filed with the Securities and Exchange Commission on Thursday, Elliott said the software company's "execution over the past several years has been poor on numerous fronts, and its growth has been non-existent."

It said BMC faces increasing competition from a host of other industry players.

BMC shares closed down almost 2 percent on Wednesday and fell another 2 percent in Thursday morning trading, to $42.07. The shares are up about 30 percent so far this year.

"BMC's board would be well served to include more directors with technology backgrounds, especially in today's rapidly changing marketplace," Elliott said in the presentation, naming former executives at Hewlett-Packard among its slate of four nominees to the BMC board.

Elliott presented a list of potential buyers of BMC, including technology giants such as International Business Machines Corp, Oracle and Dell, and private equity firms including KKR, Blackstone Group and Bain Capital.

The hedge fund firm, founded by the billionaire Singer in 1977, also heaped criticism on BMC's "ineffective" merger and acquisition strategy, saying the company takes too long to make acquisitions and pays too much.

Elliott owns 6.5 percent of the common stock of BMC, which makes software for storage management, database performance and data recovery.

Elliott has taken similar stakes in other technology companies, including Novell Inc and Blue Coat Systems Inc, which resulted in the sale of those companies.

In a letter to BMC's board of directors, also filed with regulators on Thursday, Elliott portfolio manager Jesse Cohn said the hedge fund and other shareholders "remain frustrated by the board's intransigence."

BMC has so far resisted Elliott's proposals for the Houston-based company to sell itself, and in May it moved to prevent a hostile takeover by adopting a "poison pill" shareholder-rights plan.

Another activist hedge fund run by a former portfolio manager for the industry's original corporate raider, Carl Icahn, recently took a 1 percent stake in BMC. Corvex Management LP bought 1,541,993 shares of BMC, according to a regulatory filing in May.

RG Steel files for Chapter 11 bankruptcy
May 31st 2012, 13:20

Thu May 31, 2012 9:20am EDT

May 31 (Reuters) - RG Steel LLC on Thursday filed for Chapter 11 bankruptcy protection, one week after the company said it was running short of liquidity and set plans to idle three steelmaking plants.

The privately held company and several affiliates filed for protection from creditors with the U.S. bankruptcy court in Wilmington, Delaware. RG Steel said it has more than $1 billion of both assets and liabilities.

U.S. steelmakers have struggled with weak demand, rising costs and narrowing margins. Production capacity has yet to fully recover from the most recent recession.

RG Steel bought the three plants from Russia's Severstal' OAO in 2011 for about $1.2 billion, becoming the fourth-largest U.S. flat-rolled steel producer.

The Renco Group Inc and Cerberus RG Investor LLC hold ownership stakes in some of the debtors, court filings show.

UPDATE 1-Egypt's EFG Hermes attracts buyout interest
May 31st 2012, 13:24

Thu May 31, 2012 9:24am EDT

(Adds details, background)

CAIRO May 31 (Reuters) - A group of investors and bankers has made a buyout approach to Egypt's biggest investment bank, EFG Hermes.

Egyptian share prices have tumbled since the uprising that ousted President Hosni Mubarak last year, and many investors have been looking to snap up assets seen as undervalued. EFG's shares have more than halved in that time.

The bank had a market value of $839.1 million at the close of trade on Wednesday, according to Reuters data.

Cairo-based EFG - which is in the midst of forming a joint venture with Qatar's QInvest - released news of the approach in a letter to the Egyptian stock exchange on Thursday.

EFG, which has $4.7 billion in assets under management, said it received a letter expressing interest in a buyout - to be conducted via a stock exchange tender - from a new company, Planet IB Limited, on Wednesday.

That letter was signed by Ahmad Al Husseiny, until this month managing director and member of the board of Egyptian private equity firm Citadel Capital.

It said Planet was a special purpose vehicle to buy EFG's shares and included a "group of Arab and Egyptian investors as well as a group of prominent Egyptian bankers and experts in financial markets and direct investment".

Planet's letter did not name the investors or give a target price for EFG shares and it was not clear how any buyout would affect the QInvest deal.

"We reveal this intention of ours ... in our belief that the current share price is below the valuation that we made, based on published information and made public by way of the stock exchange," Planet's letter said.

It said the tender was contingent on Planet carrying out an appraisal and due diligence.

Any tender offer would require approval from the Egyptian regulatory authority but not from EFG management.

Husseiny joined Citadel Capital in 2005 after serving as director of investment banking at Barclays Bank Egypt.

EFG said in May it had an agreement to form a region-wide investment bank with Qatar's QInvest, which would control 60 percent of the new bank and provide $250 million to increase its capital. (Reporting and writing by Patrick Werr and Tom Pfeiffer; Editing by David Hulmes)

UPDATE 1-RG Steel files for Chapter 11 bankruptcy
May 31st 2012, 13:34

Thu May 31, 2012 9:34am EDT

* Has more than $1 bln in assets, liabilities

* Idled three steel plants last week

May 31 (Reuters) - RG Steel LLC filed for Chapter 11 bankruptcy protection on Thursday, one week after the company said it was running short of liquidity and set plans to idle three steelmaking plants.

Privately held RG Steel said a week ago it was suffering a liquidity crisis, looking for a buyer and would idle all three of its steel mills starting in June.

Workers were told in letters the company would stop operations at its Sparrows Point mill outside Baltimore and its plants in Warren, Ohio, and Wheeling, West Virginia.

RG spokeswoman Bette Kovach had no immediate comment on the Chapter 11 filing on Thursday.

The company and several affiliates filed for protection from creditors in the U.S. bankruptcy court in Wilmington, Delaware. RG Steel said it has more than $1 billion in both assets and liabilities.

U.S. steelmakers have struggled with weak demand, rising costs and narrowing margins. Production capacity has yet to fully recover from the most recent recession.

RG Steel bought the three plants from Russia's Severstal' OAO in 2011 for about $1.2 billion, becoming the fourth largest U.S. flat-rolled steel producer.

Renco Group Inc and Cerberus RG Investor LLC hold ownership stakes in some of the debtors, according to court filings.

Reuters: Private Equity: UPDATE 1-JPMorgan whittles down scandal-hit CIO unit -source

UPDATE 1-JPMorgan whittles down scandal-hit CIO unit -source
May 31st 2012, 11:59

Thu May 31, 2012 7:59am EDT

By Douwe Miedema

May 31 (Reuters) - JPMorgan will cut the private equity-like activities from its Chief Investment Office (CIO), the supposedly low-risk unit that caused more than $2 billion in trading losses, a source familiar with the matter said.

Matt Zames, who is cleaning up the unit after its former head Ina Drew stepped down this month, is carving out the "special investments group" - which makes investments in other companies - from the scandal-hit CIO.

The news was first reported by the Financial Times, which reported the unit had made investments in wireless internet provider LightSquared and, most recently, in ailing French technology company Technicolor.

JPMorgan Chief Executive Jamie Dimon blamed a failed strategy for the losses in the CIO, whose task it was to put the bank's surplus money to work but which racked up huge losses in a series of disastrous derivatives trades.

The special investment group will now be folded into JPMorgan's corporate centre, home to One Equity Partners, the bank's main private equity arm which manages $11 billion of investments for the bank, the source said.

Norma Corio, a 30-year veteran of J.P. Morgan Chase, would continue to run the special investments group, the FT said.

The wider CIO unit had become a huge money-spinner for JPMorgan, generating billions in revenue and running a risk book that was as big as its entire investment bank.

Part of JPMorgan's problem was the sheer scale of excess deposits it had attracted after getting through the credit crisis relatively unscathed.

Other safe-haven banks face a similar problem and some - such as HSBC - have also grouped together their liquidity and risk management in one unit.

But JPMorgan was the more aggressive by far, allowing its credit desk in London - run by French trader Bruno Iksil, nicknamed the "London Whale" - to dominate markets whenever it took positions.

In the future, the unit will continue to manage the risk on the bank's balance sheet, but without taking such excessive risks, the source said.
