UPDATE 1-Powerleague owners Patron Capital mulling Goals Soccer bid

July 2 (Reuters) - British equity firm Patron Capital said it may offer to buy out Goals Soccer Centres Plc, three months after the football centre operator said it received a preliminary approach from a Canadian pension fund.

On Monday, the Daily Telegraph said Patron Capital, which owns British five-a-side football company Powerleague, had started due diligence and was close to tabling an offer for Goals Soccer.

Goals Soccer, which runs 42 five-a-side football sites in Britain, received an approach from Ontario Teachers' Pension Plan in April, which analysts estimated could result in a deal valued at up to 76.8 million pounds ($120.46 million).

The Canadian pension fund has until July 9 to table a firm bid for the company, which had a market value of about 61 million pounds as of Friday.

Goals Soccer confirmed it received an approach from Patron Capital, but added that it continued to be in discussions with Ontario Teachers' Pension Plan.

Australian PE fund Champ raises A$475 mln, above target
Jul 2nd 2012, 07:44

SYDNEY, July 2 | Mon Jul 2, 2012 3:44am EDT

SYDNEY, July 2 (Reuters) - Australian private equity firm Champ Ventures said on Monday it had raised A$475 million ($487 million) for its seventh and largest fund so far, above its target close of A$450 million.

Private equity firms around the world have found it tougher to raise money since the global economic downturn in 2008.

The Asia-Pacific, however, has seen its share of global fundraising rise to 22 percent from just 9 percent in 2008, Preqin, a private equity tracker, said in a recent report.

The fund would invest in established companies with enterprise values up to A$200 million, with typical investments pegged at between A$20 million and A$55 million in expansion capital and buy-out opportunities.

The fund has made two investments so far in a fleet management firm and a safety products retailer and plans to announce a third investment this month, it said in a statement.

Champ Ventures is part of Champ Group, which manages A$2 billion in funds.

UPDATE 1-David Jones shares drop on doubts over PE bid
Jul 2nd 2012, 01:27

Sun Jul 1, 2012 9:27pm EDT

* Shares fall as much as 8.5 pct

* Analysts question whether other bidders would come in

* UK PE firm says bid is real but preliminary

MELBOURNE/SYDNEY, July 2 (Reuters) - Australia's David Jones fell as much as 8.5 percent on Monday on doubts about a A$1.7 billion ($1.74 billion) takeover bid by a UK company, and as questions arose over likely interest from rival bidders.

David Jones jumped nearly 15 percent on Friday to A$2.59 after it revealed a bid from EB Private Equity, although the share price was still well below the A$3.12 a share implied by the offer given a lack of information about the bid.

EB's chairman was cited in Australian newspapers on Monday as saying the offer was genuine, but at a preliminary stage.

"There is significant uncertainty over the legitimacy of the bid given the lack of information on the bidding consortium," UBS analyst Ben Gilbert said.

"Given the bid appears highly dependent on property development, it is unlikely the value they see in the business is accessible to the broader market. This limits the scope for a competing bidder," he added.

Gilbert said the bid implied a value of 11 times FY13 earnings before interest and tax, or a 40 percent premium David Jones' global peers, which indicated the offer was too rich.

EB Chairman John Edgar told Australian newspapers his company offered A$1.52 billion ($1.56 billion) in a letter to the board of David Jones in May and increased that last week to A$1.65 billion, but had not expected the initial approaches to be made public.

"We think the offer is a good one and it stacks up both on a technical level and practical level, and approached David Jones with the idea of discussing that," Edgar was quoted as saying by the Australian Financial Review.

He said he hoped to discuss the bid with David Jones Chairman Bob Savage this week.

Companies House, the registrar of privately owned firms based in England and Wales does not have any record of EB Private Equity and Preqin, a private equity tracking firm, has no record of EB's fund raising or deals.

According to its website, EB Private Equity is a real estate investor that counts retail properties among its strategic interests. The website lists no telephone number, address and carries only basic information about its strategy.

Edgar said EB, with $200 million of funds under management, had spoken to financial institutions and investors about joining the bid for David Jones.

"Things are at too preliminary a stage for things to be formulated and firmly in place," he told the Australian Financial Review.

Edgar, who told The Australian newspaper EB was a property-oriented fund that had done deals in Europe, Africa and North Africa, said the firm was mostly interested in David Jones' real estate and had no experience in running retail businesses.

David Jones has been seen as a potentially attractive takeover target, primarily for its property portfolio worth up to A$700 million, that includes flagship stores in the heart of Sydney and Melbourne.

David Jones has said it is still seeking information on EB Private Equity.

David Jones' shares were 6 percent lower at A$2.435 at 0115 GMT in a broader market up 1.3 percent.

UK suitor for Australia's David Jones stands by $1.7 bln bid - reports
Jul 1st 2012, 22:46

MELBOURNE, July 2 | Sun Jul 1, 2012 6:46pm EDT

MELBOURNE, July 2 (Reuters) - The mystery UK private equity company behind a takeover approach for Australia's No.2 department store chain David Jones has said its bid is real, following questions about its business and assets, Australian media reported on Monday.

David Jones said on Friday it had received an unsolicited bid from a consortium led by EB Private Equity, a firm it said it did not know much about and was unknown to many market players, prompting speculation the bid was a hoax.

EB Chairman John Edgar has told Australian newspapers that his company first offered A$1.52 billion ($1.56 billion) in a letter to the board of David Jones in May and increased that last week to A$1.65 billion, but had not expected the initial approaches to be made public.

"We think the offer is a good one and it stacks up both on a technical level and practical level, and approached David Jones with the idea of discussing that," Edgar was quoted saying by the Australian Financial Review.

He said he hoped to discuss the bid with David Jones Chairman Bob Savage this week.

Edgar said EB, with $200 million of funds under management, had spoken to financial institutions and investors about joining the bid for David Jones.

"Things are at too preliminary a stage for things to be formulated and firmly in place," he told the AFR.

Edgar, who told The Australian newspaper EB was a property-oriented fund that had done deals in Europe, Africa and North Africa, said EB was mostly interested in David Jones' real estate and had no experience in running retail businesses.

"We didn't anticipate such a fuss," Edgar told The Australian.

David Jones shares surged 15 percent on Friday to A$2.59, but that was well below the offer price of A$3.12 a share, reflecting scepticism in the market about EB Private Equity, whose website had scant information about its business.

David Jones has said it is still seeking information on EB Private Equity.

Investcorp buys Austrian online firm for $178 mln

DUBAI, July 1 | Sun Jul 1, 2012 4:11am EDT

DUBAI, July 1 (Reuters) - Investcorp, a Bahrain-based investment firm, said on Sunday its online portfolio unit Skrill bought Austrian firm paysafecard.com for up to 140 million euros ($177.67 million), betting on growth in online retail sector.

Paysafecard provides prepaid electronic payment services and the acquisition is Investcorp's fifth investment in Europe in the past six months, the Bahraini firm said in a bourse statement.

"Prudent investors are finding golden opportunities that have emerged post the Eurozone crisis, as reflected in our five acquisitions so far this year," Mohammed Al-Shroogi, Investcorp's president for Gulf business said.

Venture capitalists invested a record $2.39 billion in online retail in 2011, according to Thomson Reuters data, more than double the amount in 2010.

Skrill, formerly knows as Moneybookers, provides global online payments services.

The combined group will potentially have 27 million end-users and over 100 different payment options, the statement said.

Investcorp, which once owned luxury brands Gucci and Tiffany & Co, last month signed up to a $504 million-equivalent loan aimed at refinancing debt due in 2013.

The company had around $11.6 billion in assets under management as at December 31, 2011. (Reporting by Dinesh Nair; Editing by)
