UPDATE 1-Buyout firms bid for Peugeot's GEFCO unit-sources

* Apollo, AXA PE, Bain, CVC, PAI, Pamplona bid for GEFCO -sources

* SNCF logistics group Geodis did not place bid -sources

* Bids seen valuing GEFCO at 800 mln to 1.2 bln euros -sources

By Sophie Sassard and Simon Meads

PARIS/LONDON, June 1 (Reuters) - A field of mainly private equity firms has tabled offers for Peugeot's car delivery group GEFCO, valuing the business at up to 1.2 billion euros ($1.48 billion), people familiar with the situation said.

At least six private equity groups including Apollo, Axa Private Equity, Bain, CVC, PAI and Pamplona tabled indicative offers for up to 90 percent of the trucking unit, which Peugeot is offloading after its operating losses in the second half slumped to 497 million euros..

Geodis, the logistics business owned by French state-owned rail operator SNCF, studied an offer for the company, but did not bid, two of the people said.

Despite widespread interest from buyout groups, the sale of GEFCO is expected to be protracted and complicated as potential buyers worry about the extent of restructuring that the business needs and possible political interference.

Meanwhile, seller PSA Peugeot Citroen has to contend with the turning around its own core manufacturing business and tackling debt, in the midst of closely scrutinised tie-up with U.S. manufacturer General Motors.

PSA said it was flexible on the size of stake it would sell but wants to remain a strategic shareholder in the company. It is targeting proceeds of at least 560 million euros as part of plans to raise 1.5 billion euros from disposals.

Bids for GEFCO are seen at between 4 and 6 times earnings before interest, tax, depreciation and amortisation of about 200 million euros, placing a value of 800 million to 1.2 billion euros on the business, the people said.

CHALLENGES

Although PSA's most profitable unit, registering a 13 percent rise in operating profits in 2011 to 223 million euros, GEFCO faces numerous challenges.

Not least of the private equity suitors' concerns is retaining the job of shipping PSA vehicles, which accounted for more than 60 percent of the logistics group's sales last year, the people said.

"It's a very difficult business to get confident about as an equity investor," said one banker familiar with the process. "Independent of the equity position, it's really going to be about the contracts GEFCO has with Peugeot."

Prospective buyers also believe that GEFCO, which employs some 9,400 people worldwide, will need to make significant job cuts to be competitive, a move that could be difficult and unpopular under the newly elected socialist President Francois Hollande.

If offers from private equity suitors are unsatisfactory, Hollande's regime could pressure Geodis into acting as a "white knight" for GEFCO, two people said.

Credit Suisse, which is advising PSA on the sale, is offering prospective buyers a financing package of around 750 million euros, or 3.75 times earnings, those people added.

PSA declined to comment, while the private equity firms declined to comment or were unavailable to comment. Credit Suisse also declined to comment

Reuters: Private Equity: UPDATE 1-Thousands lose jobs as German drugstore chain fails

UPDATE 1-Thousands lose jobs as German drugstore chain fails
Jun 1st 2012, 13:20

Fri Jun 1, 2012 9:20am EDT

* 13,200 employees lose jobs as 2,800 stores close

* Buyer found for unit Ihr Platz

* Investors deterred by legal action, losses

FRANKFURT, June 1 (Reuters) - Creditors failed to find a buyer for insolvent German drugstore chain Schlecker on Friday, leaving around 13,200 employees in Germany out of work as the chain closes its 2,800 stores in the country.

After months of efforts to try and find a solution for the ailing chain and aborted negotiations on a temporary employment company for its largely female workforce, insolvency administrator Arndt Geiwitz said there was no way to keep the business going.

He said the company's debts to creditors were between 500 million and 1 billion euros ($618 mln-$1.24 bln).

"I regret this decision for the many employees of Schlecker, some of whom have been with the company for years, and who will now lose their jobs," Geiwitz said on Friday.

Trade union Ver.di reacted with "anger, sadness and disgust" and called on politicians to step in.

Unlisted Schlecker filed for insolvency in January, hit by competition from privately held rivals Rossmann and dm and after failing to secure funding to upgrade its stores.

The Schleckers, once one of Germany's wealthiest families, said they had lost their multi-billion fortune, leaving them unable to pump more money into the loss-making firm.

The chain was founded by Anton Schlecker, who opened the first Schlecker drugstore in 1975.

KNOCK-OUT

Geiwitz had struggled to find a buyer for Schlecker, with potential investors put off by the company's continuing losses and claims made by some 4,000 of the 10,000 employees who had already been laid off.

He described those two factors as the "knock-out blow" for Schlecker, a well-known chain in Germany.

The other parts of Schlecker have found more favour, with the French unit being sold to French retail group Systeme U earlier this week, and investment company Dubag reportedly wanting to buy subsidiary Ihr Platz.

Geiwitz said a preliminary deal had been signed to sell Ihr Platz, which has around 4,000 employees and 490 stores, and some larger format Schlecker stores, but did not specify the investor.

Dubag was not immediately available for comment on Friday.

Geiwitz said he would try to find buyers for individual Schlecker stores, but that the chain would start closing-down sales in June.

The lay-offs come as euro zone joblessness in March and April rose to the highest level since the EU began tracking unemployment data for the currency area, highlighting the devastating impact of the bloc's debt crisis.

Those interested in potentially buying Schlecker included billionaire investor Nicolas Berggruen, who owns the Karstadt chain of department stores in Germany, and financial investor Cerberus.

Geiwitz said Berggruen had pulled out of the process, while the other offer had not been acceptable.

German media reports had said previously that a buyer would be unlikely pay more than 100 million euros and that 90-150 million euros alone would be needed to refurbish the stores, which lack the type of allure that helped rivals Rossmann and dm grab market share from Schlecker.

UPDATE 1-Blackstone, M.Stanley to buy Lloyds Australia loans-sources
Jun 1st 2012, 08:24

Fri Jun 1, 2012 4:24am EDT

By Alex Frew McMillan

HONG KONG, June 1 (Reuters) - Private equity property funds run by Blackstone and Morgan Stanley have agreed to pay A$640 million ($621 million) to acquire a A$1.9 billion portfolio of distressed property loans in Australia from a unit of Lloyds Banking Group, two sources with knowledge of the transaction said.

The deal is the latest in a series of portfolio sales of loans extended before the global financial crisis that then went bad when property prices plunged. Morgan Stanley and Blackstone, two of the largest property funds, are among a group of global real estate investors looking to pick up loans on the cheap as sellers seek to shed debt and store cash.

The Blackstone-Morgan Stanley consortium outbid several high-profile rivals, one of the sources said on Friday, including Australian investment bank the Macquarie Group , another investor team made up of Goldman Sachs, Brookfield and Singapore sovereign wealth fund GIC, and the hedge funds Pacific Alliance and Elliot Associates.

The Blackstone Real Estate Property Fund VII and the Morgan Stanley Real Estate Fund VII, backed by financing from Deutsche Bank, are acquiring the distressed debt at around 34 cents on the dollar.

Lloyds put the Australian portfolio on the block in March, looking to wind down its non-core assets. It had inherited the assets when it bought HBOS in 2008, including the Bank of Scotland and its international unit, BOS International.

The sale of this portfolio follows Lloyds's move to offload A$1.7 billion in distressed property loans to Morgan Stanley and Goldman Sachs in November last year.

Nearly all the loans are in default, one of the sources said, explaining the deep discount on the purchase. The bulk of the debt is on property in New South Wales, Victoria and Queensland, including residential property, offices, retails, hotels, a marina, and a retirement village.

The deal is being signed on Friday, the source said. Morgan Stanley and Blackstone were not immediately available for comment.

Japan's Unison to auction sushi chain for up to $893 mln-sources

TOKYO, June 1 | Fri Jun 1, 2012 5:05am EDT

TOKYO, June 1 (Reuters) - Japanese buyout firm Unison Capital is seeking a buyer for its popular sushi restaurant chain Akindo Sushiro, in a transaction that could be worth as much as 70 billion yen ($893 million) and mark one of the largest private equity sales in the country in recent years, two sources said.

Unison, Japan's second-largest private equity firm, has hired Mitsubishi UFJ Morgan Stanley as an adviser for an auction, said the sources, who had knowledge of the sale but asked not to be identified as the information is not public.

Unison bought Akindo Sushiro, which runs automatic sushi restaurants nationwide, in 2007.

The company's revenue has grown 69 percent since then. It posted 99.8 billion yen in sales for the year ended September 2011, compared with 59 billion yen for the year to September 2007, according to its web site.

Net profit fell to 979 million yen for 2011 from 1.1 billion yen in 2007.

A Unison spokeswoman declined to comment.

Unison has been one of the most active private equity funds recently. Last month it agreed to buy drug maker Showa Yakuhin Kako, in its third buyout in six months. ($1 = 78.4150 Japanese yen) (Reporting by Wakako Sato and Junko Fujita; Editing by Muralikumar Anantharaman)
