British taxpayers profit in Actis private equity deal
May 1st 2012, 12:04

Tue May 1, 2012 8:04am EDT

* Actis to pay UK goverment 8 mln stg for 40 pct stake

* British taxpayers could get more than $100m from deal

* Government agrees to take share of future profits

By Simon Meads

LONDON, May 1 (Reuters) - The British government is selling its stake in emerging markets private equity group Actis in a move that could pull in tens of millions of pounds for British taxpayers, reversing what it viewed as a poor deal under the previous government.

Actis, one of the largest private equity investors in the world's poorest countries, said on Tuesday it is buying out the government's 40 percent stake in the company for 8 million pounds ($13 million) in cash.

The deal represents a successful payday for the government and International Development Secretary Andrew Mitchell in squeezing value out of an investment that had been valued at between zero and $3 million by the government's independent financial adviser Canaccord Genuity Hawkpoint.

More lucrative will be the share in profits that the government will receive over time from the sale of companies in which Actis has invested.

Canaccord Genuity Hawkpoint has estimated that the payments could be worth more than $100 million, which will flow back into public coffers.

"Today's agreement represents a much better deal for the taxpayer. While Actis has generated significant profits, the previous shareholding structure meant the taxpayer and Government did not receive any direct financial return at all," said Mitchell.

"This sale now gives the British taxpayer an opportunity to share in the future profits of the funds managed by this highly successful business."

Mitchell was highly critical of the deal in 2004 that saw the government invest in an independent Actis, claiming that it represented poor value for the taxpayer.

Despite the successful performance of funds managed by Actis, the ownership structure and agreement put in place under the previous government, meant that the Department for International Development received no payments or direct financial benefit from Actis.

He argued last year that the government should sell out if it could realise proper value for its position.

Actis management spun out the group from government-backed emerging markets investor CDC Group Plc, paying 373,000 pounds for a 60 percent stake in the business in 2004, with the government taking a 40 percent stake.

Since then, Actis has gone on to become one of the world's biggest emerging markets private equity specialists, with $4.6 billion of funds under management and investments in businesses as diverse as Rwanda's second largest commercial bank and fast food chain Xiabu Xiabu in China.

Despite selling its position in the management group, CDC has remained a cornerstone investor in Actis's private equity funds.

Actis said it has invested 1.7 billion pounds to date on behalf of CDC and returned 3.1 billion pounds to the group.

UPDATE 1-PF Chang's to go private in $1.1 bln deal
May 1st 2012, 12:14

Tue May 1, 2012 8:14am EDT

* PF Chang's shareholders to get $51.50 per share

* Centerbridge to pay 30 pct premium to Monday's close

* PF Chang's can solicit better offers through May 31

May 1 (Reuters) - Restaurant operator PF Chang's China Bistro Inc said it would go private in a $1.1 billion deal with private equity firm Centerbridge Partners.

Centerbridge will pay $51.50 per share -- a premium of about 30 percent to PF Chang's stock's Monday close.

PF Chang's, which operates namesake Bistro restaurants and the smaller Pei Wei quick-service chain, may solicit superior proposals through May 31, the companies said in a statement.

The deal with Centerbridge is expected to close by the end of the third quarter.

PF Chang's has been reworking its offerings and special deals after its move to increase prices curbed demand.

American diners have stayed value-conscious amid difficult economic conditions. PF Chang's, Olive Garden parent Darden Restaurants Inc and other full-service chains are facing stiff competition from both McDonald's and so-called fast-casual chains like Chipotle Mexican Grill Inc and Panera Bread Co.

Separately, PF Chang's also reported a 42 percent drop in first-quarter profit, due to higher ingredient and operating costs.

Goldman Sachs and DLA Piper LLP are advising PF Chang's while Centerbridge is being advised by Wells Fargo Securities, Deutsche Bank Securities and Weil, Gotshal & Manges LLP.

China's SMIC buying Hiroshima DRAM plant an option for Elpida -Nikkei
May 1st 2012, 05:45

Tue May 1, 2012 1:45am EDT

* Hony may sell Hiroshima ops to SMIC if Elpida bid a success -Nikkei

* SK hynix, Toshiba, GlobalFoundries, joint plan possible -Nikkei

* 2nd-round bids for Elpida due late this week

TOKYO, May 1 (Reuters) - China's Hony Capital plans to sell or outsource the operations at Elpida Memory's Hiroshima DRAM plant to Semiconductor Manufacturing International Corp (SMIC) if its bid for the bankrupt Japanese chipmaker is successful, the Nikkei business daily said on Tuesday.

The scenario involving Hony, which is bidding along with fellow private equity firm TPG Capital, and China's top chipmaker, was drawn up by the Chinese government, the Nikkei said citing a banking source, and is one of a few being mentioned surrounding the takeover of Elpida.

Chipmakers such as U.S.-based Micron Technology, Japan's Toshiba Corp and South Korea's SK hynix , have all been linked to the auction for the world's third-largest maker of dynamic random access memory (DRAM) chips, in which second-round bids are due late this week.

Hony's parent, Legend Holdings, is also the top shareholder in Lenovo Group, which relies on DRAM chips from Elpida and Samsung Electronics for its computers and smartphones, the Nikkei wrote.

But price disputes with Samsung have led Lenovo to increase its dependence on Elpida for supply, causing Lenovo worries about chip supplies if Elpida fell into the hands of others, the Japanese paper added.

Representatives of Hony Capital were not available to comment on Tuesday, a May 1 holiday in many Asian countries.

Another plan under discussion involved a joint bid for Elpida, with SK hynix getting Elpida's main technology, Toshiba taking its Taiwan factory and U.S.-based GlobalFoundries receiving the Hiroshima plant, the Nikkei said.

Last week, a source close to Toshiba told Reuters the Japanese company would not participate in the second round of bidding after talks stalled on a joint bid with potential partners including SK hynix, but did not rule out joining up with the eventual winner of Elpida.

On Thursday, SK hynix said it is still reviewing the books of Elpida for a possible bid.
